This End User License Agreement ("Agreement") is a legal agreement between you ("User" or "Licensee") and Infotronicx Private Limited ("Infotronicx" or "Licensor") for the use of Infotronicx software products and solutions ("Software"). By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this Agreement.

1. LICENSE GRANT Infotronicx grants the User a non-exclusive, non-transferable, revocable license to install and use the Software for personal or business purposes in accordance with this Agreement. The Software is licensed, not sold.

2. LICENSE RESTRICTIONS

Copying: You may not copy or distribute copies of the Software to any third party except as provided in this Agreement.
Modification: You may not modify, reverse-engineer, disassemble, or attempt to derive the source code of the Software.
Rental: You may not rent, lease, or lend the Software to third parties without prior written permission from Infotronicx.
Transfer: You may not transfer your rights under this Agreement to any third party without prior consent from Infotronicx.
Compliance: You agree to use the Software only in compliance with all applicable laws, regulations, and standards.
3. INTELLECTUAL PROPERTY RIGHTS The Software and all copies thereof are owned by Infotronicx and are protected by copyright, trade secret, and other intellectual property laws. You do not acquire ownership rights to the Software.

4. UPDATES AND MAINTENANCE Infotronicx may provide updates, enhancements, or modifications to the Software. Any such updates provided to the User shall become part of the Software and shall be governed by this Agreement.

5. SUPPORT SERVICES Infotronicx may offer support services for the Software. Any such services will be described in a separate agreement, if applicable.

6. TERMINATION This Agreement is effective until terminated. Infotronicx may terminate this Agreement at any time without notice if you fail to comply with the terms of this Agreement. Upon termination, you must destroy all copies of the Software in your possession.

7. DISCLAIMER OF WARRANTIES The Software is provided "as is" without warranty of any kind. Infotronicx makes no warranties, express or implied, including but not limited to warranties of merchantability or fitness for a particular purpose. Infotronicx does not warrant that the Software will be error-free or operate without interruption.

8. LIMITATION OF LIABILITY To the maximum extent permitted by law, Infotronicx shall not be liable for any indirect, special, incidental, or consequential damages arising out of the use of or inability to use the Software. Infotronicx's total liability shall not exceed the amount paid for the Software.

9. GOVERNING LAW This Agreement shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts of Ahmedabad, Gujarat.

10. ENTIRE AGREEMENT This Agreement constitutes the entire understanding between the parties with respect to the Software and supersedes all prior agreements, negotiations, and discussions.

11. SEVERABILITY If any provision of this Agreement is found to be unenforceable or invalid, such provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

12. AMENDMENTS Infotronicx reserves the right to modify this Agreement at any time. Any modifications will be effective upon notification to the User or by posting a revised version on Infotronicx’s website.

BY USING THE SOFTWARE, INSTALLTING THE SOFTWARE YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS.
